Corporate Bylaws & Minutes

Establishing clear rules and keeping accurate records are foundational to a well-run corporation.

Corporate Bylaws

Corporate bylaws are the rules of how a corporation works and ensures compliance. These are set by the corporate founder or a board of directors. Bylaws are used to set a standard procedure for operating a business and they serve to help avoid disputes and maintain a standard of acceptable behavior. Corporate bylaws are optional in some states.

Corporate Minutes

The decisions of your business need to be recorded in what are called Corporate Minutes. All Corporations are required by law to keep and maintain accurate corporate minutes. To take minutes properly, you need to make sure they are legible, in chronological order, and cover important decisions, actions, or plans. It is common to have a dedicated employee for recording meeting minutes.
